Board Diversity Policy and Implementation Status

1. The Company has established the “Corporate Governance Best Practice Principles,” which stipulate that the composition of the Board of Directors shall encompass diversity. Considerations for board membership shall be based on the Company’s operations, business model, and developmental needs, including basic attributes (gender, age, nationality, and culture) as well as professional backgrounds, skills, and industry experience. Board members shall generally possess the knowledge, skills, and competencies required to perform their duties.
   To achieve the ideal objectives of corporate governance, the Board as a whole shall possess the following capabilities: 1. Operational judgment; 2. Accounting and financial analysis; 3. Management; 4. Crisis management; 5. Industry knowledge; 6. International market outlook; 7. Leadership; and 8. Decision-making. The Company has formulated a diversity policy for board composition tailored to its operational needs and development.
   Each of the Company’s directors possesses unique expertise in various fields, contributing significantly to the Company’s development and operations. Furthermore, the Company prioritizes gender equality in board composition, setting a target for female representation at 14% or higher.

3. Implementation of Diversity Management Objectives:
   The current Board consists of 7 directors serving a three-year term. Female representation stands at 29% (including one Independent Director), successfully exceeding the Company’s target, while male representation is 71%.
